Snapdeal Parent Acevector Shares Debut at Nearly 12% Discount to IPO Price

Acevector’s Market Debut Falls Short of Expectations Amid Investor Caution

The shares of Acevector, the parent company of Snapdeal, opened at a significant discount on their debut, reflecting investor caution and market dynamics.

The shares of Acevector, which operates Snapdeal, listed at ₹28.30 on the BSE, nearly 12% below its IPO price of ₹32. This disappointing debut raises questions about investor sentiment and the company’s growth prospects.

Weak Listing Performance

Acevector’s shares opened at ₹28.30 on the Bombay Stock Exchange (BSE) and ₹28.32 on the National Stock Exchange (NSE), marking declines of 11.56% and 11.50%, respectively. This performance starkly contrasts with initial expectations, which had suggested a potential listing gain of around 3% based on grey market activity, where shares were anticipated to trade at ₹33.

Ravi Singh, Chief Research Officer at Master Capital Services, indicated that the weak listing could dampen near-term sentiment, leading investors to adopt a wait-and-see approach. “Fresh investments from investors might wait for price stability,” he noted, emphasizing that the company’s ability to sustain growth and improve profitability will be critical in shaping future investor confidence.

IPO Subscription and Structure

The Acevector IPO, which raised ₹420 crore, was oversubscribed 4.93 times, with strong demand from various investor segments. The qualified institutional buyer (QIB) segment was particularly robust, receiving 3.38 times the bids, while the non-institutional investor (NII) segment was booked 8.16 times. Retail investors also showed interest, with a subscription rate of 4.62 times.

The IPO consisted of a fresh issue of shares worth ₹287 crore and an offer for sale (OFS) of ₹133 crore. The price band was set between ₹30 and ₹32 per share, with a minimum lot size of 468 shares. The proceeds from the IPO are earmarked for marketing and business promotion expenses, as well as technology infrastructure costs, which are crucial for Acevector’s growth strategy.

Business Model and Growth Prospects

Acevector operates an asset-light digital commerce ecosystem through its subsidiaries, focusing on data, technology, and AI-driven businesses. Its core segments include Snapdeal, an e-commerce marketplace; Unicommerce, a SaaS platform for e-commerce enablement; and Stellaro Brands, which focuses on consumer brands.

The company has reported a revenue growth of 15.9% CAGR from FY24 to FY26, driven primarily by a 40.5% CAGR in its high-margin SaaS vertical. However, despite narrowing its adjusted EBITDA loss to ₹16 crore in FY26 from ₹27 crore in FY24, concerns remain regarding its profitability and reliance on third-party logistics (3PL).

Market Sentiment and Future Outlook

Analysts have pointed out that Acevector’s future growth will heavily depend on its ability to penetrate Tier 2 and Tier 3 markets, enhance AI search capabilities, expand its SaaS client base, and roll out retail stores. However, the persistent losses and intense competition in the e-commerce sector pose significant challenges.

As investors digest this weak market debut, the focus will likely shift to Acevector’s strategic initiatives and operational performance in the coming quarters. The company’s ability to navigate these challenges will be pivotal in regaining investor confidence.
