Hi-Tech Flow Solutions Files IPO, Seeks ₹300 Crore in Fresh Issue

Hi-Tech Flow Solutions Aims for ₹300 Crore IPO to Fuel Growth and Expansion

The upcoming IPO from Hi-Tech Flow Solutions is set to enhance its manufacturing capabilities while also addressing existing debts.

Hi-Tech Flow Solutions Ltd has filed preliminary papers with the markets regulator Sebi to raise funds through an initial public offering (IPO). The proposed IPO comprises a fresh issue of up to ₹300 crore and an offer-for-sale by promoters and an investor, according to the draft red herring prospectus (DRHP) filed on Thursday.

IPO Structure and Fund Utilization

Hi-Tech Flow Solutions plans to raise ₹300 crore through its IPO, which includes a fresh issue and an offer-for-sale (OFS) by its promoters and an investor. The OFS will see promoters Ajay Kumar Bansal and Vipul Bansal, along with The Wealth Company Alternates Trust – India Inflection Opportunity Fund, offload their stakes. The company may also consider a pre-IPO placement of up to ₹60 crore, which would reduce the size of the fresh issue accordingly.

The proceeds from the fresh issue are earmarked for several strategic initiatives. Approximately ₹126 crore will be allocated to establish an API-grade Helical Submerged Arc Welded (HSAW) pipe manufacturing unit, along with a 3LPE coating unit at its existing facility in Nagpur. Additionally, ₹90 crore will be directed towards debt repayment, with the remainder set aside for general corporate purposes.

Company Background and Market Position

Founded in 1993, Hi-Tech Flow Solutions specializes in manufacturing and supplying HSAW pipes, which are essential for various applications, particularly in large-scale pipeline and infrastructure projects. The company operates manufacturing facilities in Sanand, Gujarat, and Nagpur, Maharashtra, and provides flow solution products across 17 states and 2 Union territories in India. Its clientele primarily consists of private engineering, procurement, and construction contractors, positioning it as a key player in the Indian infrastructure sector.

Financial Performance and Future Outlook

In the fiscal year 2026, Hi-Tech Flow Solutions reported a revenue of ₹417 crore and a net profit of ₹36.4 crore, reflecting a stable financial performance. The funds raised through the IPO are expected to bolster the company’s manufacturing capabilities, particularly in the production of HSAW pipes, which are crucial for meeting the growing demand in the infrastructure sector.

The establishment of the new manufacturing unit is likely to enhance the company’s production capacity and efficiency, potentially leading to increased market share. Additionally, the reduction of debt through the IPO proceeds will strengthen its balance sheet, providing a more robust foundation for future growth.
