Global Beverage Giants Carlsberg, Pernod and Coca-Cola Advance India IPO Plans

Beverage Groups Put Indian Operations on Separate IPO Tracks

Carlsberg is engaging potential investors, while Pernod Ricard and Coca-Cola are still weighing the steps needed for possible listings.

Three global beverage companies are pursuing possible Indian listings at different speeds. Carlsberg has filed an updated draft prospectus and begun customary investor interactions; Pernod Ricard’s preparations remain subject to board approval, while Coca-Cola is exploring a listing of its Indian bottling operations.

Carlsberg has moved furthest in the process

Carlsberg has filed an updated draft red herring prospectus with SEBI, placing its potential Indian IPO ahead of the other two proposals in terms of disclosed preparation. The company’s chief financial officer said the document was filed on October 28 and that follow-on work includes arranging interactions with potential investors.

Those meetings indicate that the process has progressed beyond initial paperwork, but they do not establish that an offering will proceed or when it might happen. Carlsberg’s executives declined to discuss timing, outcome or the performance of its Indian business, citing restrictions connected with the prospective IPO. Its Indian portfolio includes Tuborg, Carlsberg Elephant and Kronenbourg 1664 Blanc.

The distinction matters for investors: a filed draft prospectus and investor engagement are signs of preparation, not a completed offer or a confirmed listing timetable.

Pernod Ricard is preparing, but awaits a board decision

Pernod Ricard has been asked by its board to continue preparatory work so it can be ready if the company decides to proceed in the coming months. The company has made clear, however, that an IPO still requires board approval. Its work should therefore be viewed as readiness planning rather than a formal decision to list.

The potential offering comes as India remains strategically significant to the spirits maker: the country is its second-largest market globally after the US. Pernod Ricard reported 19% sales growth in India in the September quarter and said IPO preparations were contributing to a favourable pipeline-filling effect that supported first-quarter FY27 sales. That connection may give investors a near-term operating signal to watch, but it does not guarantee that the pace will continue.

Coca-Cola’s proposal centres on bottling operations

Coca-Cola is exploring a possible IPO of its Indian bottling operations through Hindustan Coca-Cola Holdings, the parent of Hindustan Coca-Cola Beverages. The company has said the potential listing would be subject to market conditions and regulatory and other approvals; it has not provided a timeline.

The proposal follows the Jubilant Bhartia Group’s acquisition of a 40% stake in HCCH last year. That ownership change is relevant context, but the available information does not specify the proposed offer’s structure, size or valuation. Coca-Cola describes India as its fifth-largest market, while its potential listing is focused on bottling operations rather than an IPO of the global parent.

What investors should distinguish

The three proposals reflect interest in bringing Indian beverage assets to domestic public markets, but their differing stages make it premature to treat them as a single wave of confirmed IPOs. The disclosures do not yet provide enough detail to compare issue valuations, offer sizes or the shareholding that would remain with each parent after a listing.

Operating performance will also need to be assessed company by company. Pernod Ricard reported growth in India, whereas Carlsberg’s revenue fell 2.2% to Rs 8,708.8 crore in FY26. Those figures cover different reporting periods and businesses, so they are not a direct comparison; they do underline why prospectus disclosures on financials, risks and intended use of proceeds will matter.

For the broader IPO market, the proposals could add prominent consumer businesses to the pipeline if they advance. But regulatory review, corporate approvals and market conditions remain important gates, and none of the three companies has supplied a definitive timetable in the information disclosed.

Key Highlights

  • Carlsberg filed an updated DRHP with SEBI and is arranging potential-investor interactions.
  • Pernod Ricard continues IPO preparation, but proceeding still requires board approval.
  • Coca-Cola is exploring a listing of its Indian bottling operations through HCCH.
  • No definitive IPO timeline has been disclosed for the three potential offerings.
  • Offer structure, valuation and final approvals remain key details for investors to assess.

Investor Note: Treat these plans as developments to monitor, not confirmed investment opportunities. Any eventual IPO assessment should rely on the formal offer documents, including the proposed valuation, financial disclosures, risks and terms of the listing.
