Amber Enterprises Arm IL JIN Electronics Files DRHP for ₹2,500 Crore IPO

IL JIN’s IPO Plan Links Debt Repayment With a Major Capacity Push

Amber Enterprises’ electronics subsidiary is proposing a fresh issue to fund borrowings, equipment purchases and general corporate needs.

IL JIN Electronics (India) has filed a draft red herring prospectus for a ₹2,500 crore IPO, comprising only a fresh issue of shares. The company plans to direct the proceeds towards debt repayment, manufacturing equipment and general corporate purposes as it operates across electronics manufacturing, PCB production, power electronics and industrial automation.

A fresh issue puts the company’s funding needs at the centre

The proposed ₹2,500 crore IPO is entirely a fresh issue, with no offer-for-sale component. That distinction means the proposed proceeds are intended for IL JIN’s business and balance sheet rather than for existing shareholders selling part of their holdings. The final allocation across the stated uses will be important for investors assessing how the fundraising may support the company’s next phase.

IL JIN says it will use part of the money to repay or prepay certain borrowings, including accrued interest, taken by the company and its subsidiaries Ascent Circuits and Shogini Technoarts. Reducing debt could ease future financing obligations, while the planned purchase of plant, machinery and equipment points to continued investment in manufacturing. The balance between these priorities will matter: debt reduction can strengthen financial flexibility, while new capacity requires execution and demand to justify the investment.

Four business verticals and a widening manufacturing footprint

The company describes itself as a vertically integrated, technology-driven electronics design and manufacturing business. Its operations span electronics manufacturing services (EMS), bare printed circuit board manufacturing, power electronics and industrial automation. These activities give the company exposure to several stages and applications within electronics production, although the draft filing’s description alone does not establish how much each vertical contributes to revenue or earnings.

IL JIN operates 11 manufacturing facilities: 10 in India and one in Israel. Its Indian sites are in Noida and Greater Noida, Pune, Chennai, Hosur and Bengaluru. Six further facilities are under construction and are expected to support future capacity expansion. That planned build-out makes utilisation and timely commissioning relevant considerations for investors; the company’s ability to convert added capacity into business will be as important as the headline facility count.

Reported growth sharpens the focus on execution

IL JIN’s revenue from operations increased to ₹3,268.47 crore in FY26 from ₹1,240.41 crore in FY24. EBITDA rose to ₹321.07 crore from ₹71.42 crore over the same period. These figures indicate a substantial increase in the scale of reported operations and EBITDA, but they do not by themselves show the durability of that growth, the contribution of individual business verticals or the company’s ability to sustain performance as capacity expands.

IL JIN is a subsidiary of Amber Enterprises India, a major player in India’s room air-conditioner OEM and ODM industry. Its broader electronics activities make the IPO relevant beyond its parent’s established air-conditioning association. Still, investors will need to examine the full offer documents for details such as valuation, issue terms, business concentration and the risks attached to expansion. The DRHP filing is an early step in the IPO process, not a final assessment of the offer’s attractiveness.
