SEBI to Issue Closing Auction Guidelines Within a Week, Says Pandey

Sebi Plans to Streamline Market Operations with New Guidelines

The Securities and Exchange Board of India (Sebi) is poised to enhance market efficiency with a series of new guidelines aimed at simplifying trading processes and improving compliance.

Sebi is set to issue guidelines for the Closing Auction Session (CAS) within a week, following extensive feedback from market participants. The regulator is also working on simplifying digital onboarding for foreign investors and exploring a graded compliance framework for stock brokers.

Closing Auction Guidelines on the Horizon

Sebi Chairman Tuhin Kanta Pandey announced that the regulator is finalizing guidelines for the Closing Auction Session (CAS) after reviewing over 20,000 comments from traders and industry stakeholders. This initiative aims to address concerns regarding the settlement price of derivatives on expiry days, a critical aspect for market participants who rely on accurate pricing for their trades.

The CAS is designed to enhance price discovery and ensure that the settlement prices reflect the true market value at the end of trading sessions. By implementing these guidelines, Sebi hopes to foster greater confidence among traders and reduce volatility during critical trading periods.

Simplifying Access for Foreign Investors

In a bid to attract more foreign investment, Sebi is also working on simplifying the digital onboarding process for Persons Resident Outside India (PROIs). This initiative aims to allow foreign investors to access Indian markets without the need for physical presence, thereby streamlining the investment process and potentially increasing capital inflows.

The regulator has received over 400 comments on this proposal, indicating significant interest from global investors. By issuing a circular shortly, Sebi aims to clarify the requirements and facilitate easier market entry for foreign participants.

Graded Compliance Framework for Stock Brokers

Sebi is also exploring a graded compliance framework for stock brokers, which would be based on their scale, client exposure, and technology dependence. This approach aims to create a more proportionate regulatory environment, allowing smaller brokers to operate without the same level of compliance burden as larger firms.

By tailoring regulations to the size and capabilities of brokers, Sebi hopes to enhance market participation while ensuring that all firms adhere to necessary compliance standards.

Interoperability Framework to Reduce Costs

In a significant move to enhance capital efficiency, Sebi is targeting the end of November to integrate certain transactions, such as tender offers, buybacks, and offers for sale, into an interoperability framework. Currently, these transactions require parallel clearing arrangements, which can increase costs and compliance requirements for market participants.

By streamlining these processes, Sebi aims to reduce compliance costs while maintaining the safety of settlements, ultimately benefiting both investors and companies looking to raise capital.

Focus on Technology and Fraud Prevention

On the technology front, Sebi plans to issue guidelines for the responsible use of artificial intelligence and machine learning in the financial sector. These guidelines will follow a tiered approach, emphasizing accountability, data controls, and human oversight to mitigate risks associated with technological advancements.

Additionally, the regulator is reviewing the Depositories and Participants Regulations to simplify rules and strengthen fraud prevention measures, ensuring a safer trading environment for all market participants.
