Why Is BSE Valued Higher Than IPO-Ready NSE? Pricing Explained

Understanding the Valuation Dynamics of BSE and NSE Ahead of IPO

The contrasting valuations of BSE and NSE highlight a unique scenario in India’s equity market as the latter prepares for its IPO.

The Indian equity market is witnessing a fascinating valuation paradox as NSE gears up for listing. Typically, the undisputed leader of a sector commands the highest premium, but the exchange duopoly is turning this rule on its head.

BSE’s Premium Valuation Explained

In a surprising twist, the Bombay Stock Exchange (BSE) is currently valued higher than the National Stock Exchange (NSE), which is preparing for its much-anticipated IPO. The NSE’s projected valuation stands around 42.9 times its price-to-earnings (P/E) ratio, while BSE is trading at a steeper valuation of approximately 54.28 times P/E, according to estimates from SBI Securities. This valuation discrepancy raises questions about the underlying factors driving BSE’s premium.

Analysts attribute BSE’s higher valuation to its faster earnings growth from a smaller base. Santosh Meena, head of research at Swastika Investmart, notes that BSE has been aggressively capturing market share in equity derivatives, particularly in options trading. This has significantly boosted its transaction revenues, while the NSE has experienced a slowdown in growth, attributed to regulatory changes and a higher base effect.

Liquidity Premium and Growth Potential

Deven Choksey, MD of DRChoksey FinServ, describes this phenomenon as a “liquidity premium.” He explains that while larger companies like NSE typically experience moderated growth, smaller exchanges like BSE can achieve higher growth rates due to their low base. The potential for BSE to capture market share from NSE, which currently dominates the derivatives segment, further justifies its premium valuation.

According to the NSE’s Red Herring Prospectus (RHP), the revenue for FY26 is projected at ₹16,601 crore for NSE, compared to ₹4,834 crore for BSE. The average daily turnover volume in the cash segment is nearly 13 times greater for NSE, indicating a significant gap in operational scale. However, BSE’s improving operating leverage and potential for expansion in cash equities, where NSE holds approximately 93% market share, add to its attractiveness.

Market Dynamics and Future Valuation

Despite BSE’s current valuation advantage, analysts caution that NSE’s status as the world’s largest derivatives exchange should not be overlooked. It commands over 70% of options premium turnover and nearly 100% in futures and cash segments, which contributes to higher revenue yields. Meena points out that while BSE enjoys a scarcity-and-momentum premium, NSE’s absolute scale and structural dominance should eventually command a premium in the market.

Looking ahead, analysts suggest that the best way to evaluate both exchanges is through a combination of absolute earnings power, sustainable growth rates, and market-share trajectories rather than relying solely on P/E multiples. Choksey emphasizes that both exchanges serve unique roles in the market, making direct comparisons less relevant.

Key Highlights

  • BSE is currently valued higher than NSE, with P/E ratios of 54.28x and 42.9x, respectively.
  • BSE’s growth is driven by its aggressive market share gains in equity derivatives.
  • NSE’s revenue for FY26 is projected at ₹16,601 crore, compared to BSE’s ₹4,834 crore.
  • The upcoming NSE IPO opens for subscription on September 17, with a price band of ₹1,700-1,785 per share.
  • Analysts recommend evaluating exchanges based on earnings power and growth trajectories rather than P/E multiples.

Investor Note: As the NSE prepares for its IPO, investors should consider the unique growth dynamics of both exchanges. While BSE’s current valuation reflects its rapid growth potential, NSE’s established market position and scale may offer long-term advantages that warrant attention.
