NSE IPO Sees Unprecedented Demand as Anchor Book Surpasses ₹6,000 Crore

Strong Demand Exceeds Expectations
The initial public offering (IPO) of the National Stock Exchange of India (NSE) has garnered “unexpectedly large” demand, according to Ashishkumar Chauhan, the Managing Director and CEO of NSE. The interest has significantly surpassed the number of shares available for allocation, indicating a robust appetite among investors. While Chauhan did not disclose the exact breakdown between domestic institutional investors (DIIs) and foreign portfolio investors (FPIs), he noted that the allocation process is still ongoing.
Originally, the anchor book was anticipated to reach around ₹9,000 crore, but it has since been adjusted to over ₹6,000 crore due to the overwhelming demand. Chauhan emphasized that the IPO has attracted a diverse range of institutional investors, including domestic mutual funds and FPIs, who are eager to acquire a limited number of shares.
IPO Details and Market Context
The NSE IPO is set to open for subscription from September 17 to September 21, with a price band fixed between ₹1,700 and ₹1,785 per share. This offering is entirely an offer for sale (OFS), with up to 12.64 crore shares being sold by existing shareholders. Notably, no new shares are being issued by the NSE, which has led to some reluctance among shareholders to sell at the proposed valuation, resulting in a reduction of the offer from an initial 6.2% to 5.11%.
Chauhan highlighted that the listing of NSE shares will provide existing shareholders with a more transparent and liquid avenue for selling their holdings, as they currently trade in a private market with higher transaction costs and counterparties’ challenges. The shares will be listed on the Bombay Stock Exchange (BSE), further enhancing their visibility and accessibility.
Investor Sentiment and Market Dynamics
Chauhan explained that the pricing of the IPO was determined after consultations with various investors, including large institutions, mutual funds, and retail investors. Feedback indicated a desire to ensure that retail investors had a fair opportunity to participate in the offering. This sentiment reflects a broader trend in the market where retail participation is increasingly valued.
As the largest stock exchange in India by turnover, NSE commands a significant market share, holding a 93.05% share of the cash-market turnover and a 68.48% share of equity options based on premium turnover as of June 2026. Chauhan also addressed concerns regarding the exchange’s reliance on weekly options, clarifying that these now account for about 42% of total income, down from 60-70% in previous years.
Financial Performance and Future Outlook
NSE’s financial performance remains strong, with consolidated revenue from operations rising 9% year-on-year to ₹4,560 crore for the quarter ending June 2026. Net profit also saw an increase, climbing to ₹3,121 crore from ₹2,811 crore a year earlier. Chauhan attributed a decline in EBITDA margin last year to a one-time fine, noting that the normalized EBITDA margin has consistently remained in the range of 76-79% over the past five years.
Looking ahead, NSE aims to expand its investor base beyond major urban centers, targeting regions such as Jammu and Kashmir, the Northeast, Odisha, Jharkhand, and Chhattisgarh. As of June 30, NSE had 13.237 crore unique registered investors and 26.136 crore registered investor accounts, showcasing its extensive reach across more than 99% of Indian postal codes.
